1. Acceptance of Terms
By creating a Nexub account or using any Nexub product, you agree to be bound by these Terms. If you are using Nexub on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the service.
2. Description of Services
Nexub provides four products:
- Leap: company incorporation and ongoing compliance.
- Bookub: bookkeeping, accounting, and tax filing.
- Payub: payroll processing and statutory compliance.
- Founderub: compliance dashboard, free.
Services are provided on a Software-as-a-Service basis. Nexub does not provide legal, tax, or financial advice — our products assist with compliance filings but we recommend independent professional advice for complex matters.
3. Account Registration & Security
- You must provide accurate registration information.
- You are responsible for maintaining account security and notifying us immediately of unauthorized access at security@nexub.com.
- Accounts are for business use only.
- One account per business entity.
4. Subscription & Billing
- Plans are described on nexub.com/[country]/pricing.
- Payment is processed by Stripe.
- Subscriptions auto-renew monthly or annually.
- Cancellation stops future renewals but does not provide refunds for the current period (pro-rated refunds available for annual plans cancelled within 14 days of renewal).
- Nexub may change pricing with 30 days notice.
5. Acceptable Use
You may not:
- Use the service for unlawful purposes.
- Reverse engineer or attempt to extract source code.
- Share credentials with third parties.
- Use automated bots to access the service.
- Upload malware or attempt to compromise our systems.
- Impersonate others.
6. Intellectual Property
Nexub owns all rights in the platform, including software, design, and content. You own your data and company information uploaded to the platform. You grant Nexub a limited license to process your data to provide the service.
7. Data & Privacy
Our Privacy Policy (nexub.com/privacy) is incorporated by reference. For enterprise customers requiring a Data Processing Agreement (DPA) under GDPR or DPDP Act, contact legal@nexub.com.
8. Service Availability
Nexub targets 99.9% monthly uptime (excluding scheduled maintenance). Scheduled maintenance will be announced via email and status.nexub.com with at least 24 hours notice where possible. Credits for downtime below SLA targets are available on request.
9. Limitation of Liability
To the maximum extent permitted by Singapore law, Nexub’s total liability for any claim arising from these Terms or the service shall not exceed the total fees paid by you in the 12 months preceding the claim. Nexub is not liable for indirect, consequential, or punitive damages.
10. Indemnification
You agree to indemnify Nexub against third-party claims arising from your breach of these Terms, your misuse of the service, or inaccurate information you provide for compliance filings.
11. Termination
Either party may terminate with 30 days written notice. Nexub may terminate immediately for material breach (including payment default, acceptable use violations, or fraudulent activity). On termination, your data remains accessible for 30 days for export.
12. Dispute Resolution
These Terms are governed by Singapore law. Disputes shall first be addressed through good-faith negotiation. For disputes exceeding SGD 50,000, parties agree to binding arbitration under SIAC Rules in Singapore. For disputes under SGD 50,000, parties may use the Singapore Small Claims Tribunal.
13. Changes to Terms
Nexub will give at least 14 days notice of material changes to these Terms via email. Continued use after the effective date constitutes acceptance.
